• “Services” means AI engineering, software development, intelligent automation workflows, IT consulting, maintenance, integration, support or any other engineering services offered by us to clients.
• “User”, “you”, or “your” means any individual, business entity, or organization accessing the Website or engaging our Services.

• You agree to use the Website only for lawful purposes and in a manner that does not infringe upon, restrict, or impede the legitimate use of the Website by any third party.
• You must not misuse the Website by hacking, introducing viruses, worms, malicious code, trojans, automated scraping tools, or infringing intellectual property rights.
• We reserve the right to restrict, refuse, or suspend access to the Website or our Services at any time without prior notice or liability if any violation of these Terms occurs.

• If you engage our Services, the specific project scope, deliverables, timeline, milestones, fees, and related conditions will be set out in a separate mutually signed engagement letter, proposal, or Statement of Work (SOW).
• We endeavor to deliver all Services with reasonable skill, diligence, and professional care consistent with high modern engineering standards, but we do not guarantee specific commercial results unless expressly warranted in writing.

• You agree to pay all applicable fees for Services as set out in the agreed proposal, contract, or invoice.
• Unless otherwise agreed in writing, standard payment terms are 30 days from the date of invoice. Late payments may attract statutory interest or result in the suspension of ongoing Services until settled.
• All fees are exclusive of applicable taxes (including GST), duties, or regulatory levies, which shall be charged additionally in compliance with applicable laws.

• Unless otherwise agreed in a separate engagement document, we retain all rights, title, and interest in our pre-existing intellectual property (IP), proprietary frameworks, reusable tools, architectures, and methodologies. Custom client project deliverables are assigned to you upon full payment in accordance with the agreed SOW.
• You agree that you will not reproduce, duplicate, copy, sell, reverse-engineer, or exploit any portion of the Website or our proprietary software systems without our prior express written permission.

• Each party shall keep strictly confidential all technical, business, and financial information disclosed by the other party that is marked as confidential or should reasonably be understood to be confidential.
• Confidential information may only be used solely for the purpose of performing obligations under these Terms or the agreed statement of work, and must not be disclosed to third parties without prior written consent.

• To the maximum extent permitted by applicable law, our aggregate liability arising under or in connection with these Terms or the Services is limited to the fees actually paid by you for the specific Services giving rise to the claim.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruptions, anticipated savings, or loss of data.
• Nothing in these Terms limits or excludes liability that cannot be legally excluded under Indian law, such as liability for death, personal injury caused by gross negligence, or fraudulent misrepresentation.

• Either party may terminate an engagement by giving 30 days written notice if the other party commits a material breach and fails to remedy such breach within 15 days of receiving written notice thereof.
• Upon termination, you shall pay for all Services provided and milestones completed up to the effective termination date, alongside any non-cancellable third-party commitments incurred on your behalf.

• These Terms and any related engagement documents shall be governed by and interpreted in accordance with the substantive laws of India.
• The parties agree to submit to the exclusive jurisdiction of the competent courts located in Lucknow, Uttar Pradesh, India for any disputes arising out of or in connection with these Terms or the Services.

We may revise and update these Terms from time to time. The updated Terms will be published on the Website with the “Last updated” date modified accordingly.

Your continued access or use of the Website or Services after changes are posted constitutes your explicit agreement to the revised Terms.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall continue in full force and effect.

These Terms, together with any formal engagement document (such as a signed proposal, statement of work, or service agreement), constitute the entire understanding and agreement between you and us in relation to the Website and Services, and supersede all prior communications, proposals, or understandings.
